DATE: 4S—b— l S FIRST AMENDMENT TO AGREEMENT FOR PROVISION OF MANAGEMENT CONSULTANT SERVICES THIS FIRST AMENDMENT is made and entered into this is(- day of ji 2013, by and between the CITY OF SANTA ANA ( "City ") and MANAGEMENT PARTNERS INCORPORATED ( "Consultant'), an independent consultant. RECITALS WHEREAS, on or about July 2, 2012 the City and Consultant entered into an Agreement for Provision of Management Consultant Services ( "Agreement') under which Consultant contracted to provide certain professional services to the City; and WHEREAS, the City and Consultant now wish to extend the term of the Agreement in order to provide for the continuance of services, but not to exceed the total amount approved under the Agreement. AGREEMENT NOW, THEREFORE, in good and valuable consideration of the mutual promises and covenants contained herein, the receipt and sufficiency of which is hereby acknowledged, the Parties agree as follows: Section 5 of the Agreement is amended to read as follows: "The term of this Agreement shall be indefinite until she time as the Agreement is terminated by either party pursuant to Section 14, or until the total compensation approved under the Agreement is expended, whichever event comes first.
