i. The Contractor shall submit a monthly invoice by the 15" day of the month to the <br />Project Manager (PM) for services rendered in the prior month. <br />ii. All invoices for work performed under this contract shall be submitted in a <br />format approved by the PM. In addition to other information requested by the <br />PM, invoices shall include the following information. <br />• Contractor's invoice number <br />• Beginning and ending dates for services <br />• City project number and /or name <br />• Work site address /location <br />• Unit cost, subtotals and total for invoice <br />c. Payment by City shall be made within sixty (60) days following receipt of proper <br />invoice evidencing work performed, subject to City accounting procedures. <br />d. Adjustment to Charges <br />The parties may annually agree to an annual adjustment of median landscape <br />maintenance charges (not to exceed 2 %) utilizing the month of December statistics and <br />supporting documentation. The two indices which will be used for determining adjustments to <br />services charges shall be 1) the most recent December Consumer Price Index (CPI) All Urban <br />Consumers for the Los Angeles- Anaheim- Riverside CMSA, published by the United States area; <br />and 2) the December Petroleum Price Index (PPI). The adjustment formula shall be weighted <br />90% CPI and 10% PPI. <br />C. Extra Work <br />No additional work of any kind shall be compensated unless such work is completed in <br />compliance with a written estimate which has been approved by the PM in writing prior to the <br />cormnencement of the work. Contractor shall provide detailed information regarding the scope of <br />Department of Labor Bureau of Labor Statistics, or any relevant successor for the Orange County <br />the extra work and the need therefore. Work performed prior to obtaining written approval shall <br />not be included in the Scope of Work and may not be paid. <br />4. TERM <br />This Agreement shall commence on the date first written above and continue for a two <br />year term, unless terminated earlier in accordance with Section 13, below. The tens of this <br />Agreement may be extended for two additional two -year terms, at the option of the City. <br />5. CONTINUED FUNDING <br />in the event funding not allocated for median landscape maintenance services during the <br />annual budget process, the City shall notify Contractor in writing at least thirty (30) days prior to <br />the end of the current fiscal period that the contract shall terminate on the last day of the current <br />fiscal period. <br />6. INDEPENDENT CONTRACTOR <br />Contractor shall, during the entire tern of this Agreement, be construed to be an <br />independent contractor and not an employee of the City.
