Tenant shall approve or disapprove the preliminary plans and <br />specifications within 60 days after their delivery to Tenant by <br />Landlord. On approval of the preliminary plans and specifica- <br />tions, each party to this Agreement shall sign them, and they <br />shall, as of the date of signing, be deemed incorporated in and <br />made a material part of this Agreement. <br />(d) Final plans and specifications. <br />Within 180 days after (i) the date that Landlord acquires <br />title to the Premises or (ii) the date that both parties approve <br />and sign the preliminary plans and specifications, whichever date <br />last occurs, Landlord shall cause final plans and specifications, <br />including working drawings, (the "Final Plans ") to be prepared, at <br />Landlord's sole expense, shall obtain approval of the Final Plans <br />from the City of Santa Ana ( "City ") and any other governmental <br />agencies as necessary, and shall obtain the issuance of a building <br />permit or permits for the construction from the City based upon the <br />Final Plans. The Final Plans' shall be based on the preliminary <br />plans and specifications approved by the parties, except for such <br />variations therefrom as are mutually agreeable to the parties. <br />(e) Commencement and completion of construction. <br />Landlord shall cause construction of the improvements to be <br />commenced by a general contractor (the "Contractor ") licensed to do <br />business in California and selected by Landlord within 60 days of <br />the date of issuance by the City of a building permit for such <br />construction. The Contractor shall be required by its contract <br />with Landlord to construct the improvements in accordance with the <br />Final Plans and to complete construction not later than 300 days <br />after the award of the construction contract to the Contractor, <br />subject only to the delays permitted by paragraph (f) of this <br />section. <br />(f) Permitted delays. <br />The construction period provided for in paragraph (e) above <br />may, at the sole option of Landlord, be extended by a number of <br />days equal to the number of days during which construction is <br />delayed by any of the following: <br />(i) Material shortages, labor shortages, strikes, <br />lockouts, boycotts, other labor disruptions, gov- <br />ernmental actions, war, riot, insurrections, rebel- <br />lions, acts of God, fire, flood, storm, earthquake, <br />or any and all causes beyond the reasonable control <br />of Landlord; or <br />(ii.) Any major change in the Final Plans. <br />3 <br />
