all risk of damage to property or bodily injury in or about the <br />Premises from any cause and Tenant hereby waives all claims in <br />respect thereof against Landlord. <br />(b) Landlord shall indemnify and hold Tenant and the Trustees <br />of the California State University harmless from and against any <br />and all claims for bodily injury or property damage arising from <br />Landlord's acts or omissions in carrying out Landlord's responsi- <br />bilities under this Agreement. <br />15. ASSIGNMENT AND SUBLETTING. <br />(a) Except as otherwise provided in subsection (b) of this <br />section, Tenant shall not voluntarily or by operation of law <br />assign, transfer, sublet, license, mortgage, or otherwise transfer <br />or encumber all or any part of Tenant's interest in this Lease or <br />in the Premises without Landlord's prior written consent, which <br />consent shall not be unreasonably withheld. Any attempted <br />assignment, transfer, mortgage; encumbrance, or subletting without <br />such consent shall be void and shall constitute a breach of this <br />Lease. <br />(b) Landlord hereby consents to all subleases or licenses of <br />building space on the Premises entered into by Tenant as sublessor <br />or licensor which are consistent with the use of the Property <br />identified in section 7 of this Lease. <br />(c) In the event this Lease is terminated pursuant to section <br />13 due to damage or destruction of the Premises, all subleases and <br />licenses of the Premises or any portion thereof by Tenant as <br />sublessor or licensor shall immediately terminate. Otherwise, the <br />termination of this Lease shall not terminate nor effect the <br />validity of any then existing sublease or license made by Tenant as <br />sublessor or licensor, provided that Landlord has consented to such <br />sublease or license pursuant to subsection (a) or subsection (b) of <br />this section; and all of Tenant's interest as sublessor or licensor <br />shall be deemed automatically assigned, transferred, and conveyed <br />to Landlord; and Landlord shall thereafter be bound on the <br />subleases and licenses, and shall have all the rights that Tenant <br />(as sublessor) had under each sublease and license, including the <br />right to terminate any sublease or license then or thereafter in <br />default. <br />16. OPERATING COST ASSISTANCE AND USE OF OPERATING SURPLUS <br />(a) Definitions. <br />As used in this section: <br />"Lease Year" means each one -year period commencing on the <br />Commencement Date, as defined in Section 4 of this Agreement, <br />11 <br />
