F ,A�ff)RMN,10Y Pr'10CEELD Lin THIS FIRST AMENDMENT TO AGREEMENT is entered into on September 16, 2013, by and between Management Partners Incorporated, a California corporation ("Consultant") and the City of Santa Ana, a charter city and municipal corporation organized and existing under the Constitution and laws of the State of California ("City"), A. The parties entered into that certain Agreement # A-2013-076, dated June 27, 2013, (hereinafter "said Agreement") by which Consultant has provided consulting services related to development of a strategic plan. B. The parties have determined that additional community input will result in a better strategic plan to guide the City. C. In accordance with the terms and conditions of said Agreement, the parties wish to amend the Scope of Services and increase compensation to pay for the additional services provided pursuant to this First Amendment to Agreement. WHEREFORE, in consideration of the covenants contained in said Agreement, and subject to all the terms and conditions of said Agreement, except those amended in this First Amendment to Agreement, the parties agree as follows: Section 1, SCOPE OF SERVICES, shall be amended to provide that Consultant shall plan and facilitate two additional community meetings after the on-line survey results have been tabulated. At each meeting Consultant will report on the survey results and seek additional input to guide the plan. Said meetings shall occur on the same day, one C C� I morning session and one afternoon session. Consultant shall utilize two senior managers to plan and facilitate this forum and use City staff to assist with translation, recording, and management of participants. The City will provide up to nine bi-lingual individuals per session. The City of Santa Ana will be C, responsible for providing a write up of notes from all community forums, including translations. 2. Section 4.a., COMPENSATION, shall be amended to increase compensation by $8,000 for the one-day, two session forum. The total amount to be expended for strategic plan services shall not exceed $58,000.00, during the teen of said Agreement. 3. Except as hereinabove amended, all terms and conditions of said Agreement shall remain in full force and effect.
