t <br />t <br />v <br />INSURANCE NOT ON FILE <br />WORK MAY pROCEED <br />CLERK OF COUNCIL <br />9 DATE; 10 - 9 - 1-3 <br />THIRD AMENDMENT TO AGREEMENT <br />A -2012- 207 -01 <br />THIS THIRD AMENDMENT TO AGREEMENT is entered into on September 23, 2013, <br />by and between Aegis ITS Inc., 'formerly Econolite ( "Consultant ") and the City of Santa Ana, a <br />charter city and municipal corporation organized and existing under the Constitution and laws of <br />the State of California ( "City "). <br />RECITALS: <br />A. The parties entered into Agreement A- 2009 -124, dated August 17, 2009, (hereinafter "said <br />Agreement ") by which Consultant has provided maintenance on the citywide traffic signal <br />system and street light system, <br />B. By Amendment A- 2009 -124 -001, dated December 15, 2009, the parties amended the fee <br />schedule applicable to services provided pursuant to said Agreement. <br />C. On October 31, 2011, the City approved the assignment of said Agreement to Aegis ITS, Inc. <br />D. On October 1, 2012, the parties executed a Second Amendment to Agreement (A -2012 -207) <br />by which City exercised its first option to extend the term. <br />E. In accordance with the terms and conditions of said Agreement, the City desires to exercise <br />its and final option to extend the term of said Agreement. <br />-VW M <br />WHEREFORE, in consideration of the covenants contained in said Agreement, and subject to all <br />the terms and conditions of said Agreement, except those amended in this Third Amendment to <br />Agreement, the parties agree as follows: <br />1. Section 2.a., COMPENSATION, shall be amended to increase compensation by $650,000, to <br />pay for services provided during the one -year extension period, at the gates and charges set <br />forth in Exhibit B -1, attached hereto and incorporated by this reference. <br />2. Section 3, TERM, shall be amended to extend the termination date of said Agreement to <br />August 31, 2014. In order to provide continuous uninterrupted service, all services provided <br />by Consultant since September 1, 2013 shall be included within the Scope of Set-vices of this <br />Agreement. <br />3. Except as hereinabove amended, all terms and conditions of said Agreement shall remain in <br />full force and effect. <br />H <br />H <br />
