Exhibit A SCOPE OF SERVICES — Readwrite Educational Solutions Inc. - Educational classes for youth A. Math Solutions class will consist of sessions, held 2 days per week, 45 minutes per day - $53.50 /per session. A separate, one time per session testing/material fee of $10 shall be paid directly to Provider. B. Reading Solutions class will consist of sessions, held 2 days per week, 45 minutes per day - $53.50 /per session. A separate, one time per session testing/material fee of $10 shall be paid directly to Provider. C. Reading Solutions (K -1/2 -5 yrs old)- class will consist of monthly sessions, held 2 days per week, 45 minutes per day - $59 /per monthly session. A separate, onetime per session testing/material fee of $10 shall be paid directly to Provider. D. Reading Solutions (4 /2 -12yrs old)- class will consist of monthly sessions, held 2 days per week, 45 minutes per day - $59 /per monthly sessions. A separate, one time per session testing /material fee of $10 shall be paid directly to Provider. E. Math Solutions (6 %z -12yrs old)- class will consist of per monthly sessions, held 2 days per week, 45 minutes per day - $59 /per monthly sessions. A separate, one time per session testing/material fee of $10 shall be paid directly to Provider. F. Classes will be throughout the year. G. Provider and City staff shall mutually agree upon a schedule for classes, including the location, specific days and hours when class will be held and holidays to be observed. H. Provider shall provide materials, supplies, equipment, records and personnel. Provider shall be responsible for clean up of the facilities and materials and shall ensure the safety and effectiveness of instruction. I. If Provider allow others to teach his /her class, those teachers must be over 21, have obtained and maintain an instructor rating, and be covered by Providers insurance. Provider shall provide City with documentation to verify instructor and insurance requirements CLASS SIZE - REGISTRATION A. The minimum number of registered and paid participants is 4 children per class. The maximum is 10. B. hi the event the minimum number of enrollees is not realized by the first class, the class may be cancelled by mutual agreement of Provider and City. In such event, no compensation shall be owed Provider. FEES A. The class is $53.50/$59 per participant. No refunds shall be made to participants unless the class is cancelled as set forth in Section II.B, above. Anticipated revenue from this class shall not exceed $25,000 annually. B. City shall register and collect fees from each participant in the class during the period of registration. City shall pay Provider ninety percent (90 %) of the total fees collected each month. City shall retain ten percent (10 %) of the fees collected as an administrative fee. C. City shall be entitled to audit Provider's records to ensure compliance with this Agreement. D. Only registered and paid participants may participate in class.
