2. Maintenance and Repair services shall be provided at the rate of $412 per month. Said charges <br />shall not exceed $4,950.00, annually, during the term of this agreement. <br />3. Commodity purchase shall be charged as set forth in Contractor's February 5, 2014 letter, <br />attached hereto as Exhibit B, setting forth the agreed method of setting the propane price. <br />b. Invoices <br />1, The contractor shall submit a monthly invoice by the fifteenth of the month to the City for the <br />services rendered in the prior month. <br />2. All invoices for work performed under this contract shall be submitted in a format approved by the <br />City. Invoices shall include the following information at a minimum: <br />i. Contractor's invoice number <br />ii. Beginning and ending dates for services <br />iii. City project number andfor name (if applicable) <br />iv. Work site address/location (if applicable) <br />V, Unit cost, subtotals and total for invoice <br />3. Payment by City shall be made within forty -five (45) days following receipt of proper invoice, subject <br />to City accounting procedures. Payment need not be made for work which fails to meet the <br />standards of performance of a professional parking control enforcement services. <br />VI. INDEPENDENT CONTRACTOR <br />Contractor shall during the entire term of this contract, be construed to be an independent <br />contractor and not an employee of the City. This contract is not intended nor shall it be construed to <br />create an employer - employee relationship, a joint venture relationship, or to allow the City to exercise <br />discretion or control over the manner in which contractor performs the services required by this <br />contract. However, the services to be provided by contractor shall be provided in a manner consistent <br />with all applicable standards and regulations governing such services. Contractor shall pay all salaries <br />and wages, employer's Social Security taxes, unemployment insurance, and similar taxes relating to <br />employees and shall be responsible for all applicable withholding taxes. <br />VII. INSURANCE <br />Prior to undertaking performance of work under this contract, contractor shall maintain and shall require <br />its subcontractors, if any, to obtain and maintain insurance as described below: <br />Commercial General Liability Insurance. Contractor shall maintain commercial general liability <br />insurance which shall include, but not be limited to protection against claims arising from bodily <br />and personal injury, including death resulting there from and damage to property, resulting from <br />any act or occurrence arising out of contractor's operations in the performance of this <br />agreement, including, without limitation, acts involving vehicles. The amounts of insurance shall <br />be not less than the following: single limit coverage applying to bodily and personal injury, <br />including death resulting therefrom, and property damage, in the total amount of One Million <br />Dollars ($2,000,000) per occurrence, Two Million Dollars ($2,000,000) in the aggregate. Such <br />insurance shall (a) name the City, its officers, employees, agents, volunteers, and <br />representatives as additional insured(s); (b) be primary and not contributory with respect to <br />insurance or self- insurance programs maintained by the City; and (c) contain standard <br />separation of insureds provisions. <br />2. Business automobile liability insurance, or equivalent form, with a combined single limit of not <br />less than One Million Dollars ($1,000,000) per occurrence. Such insurance shall include <br />coverage for owned, hired and nonowned automobiles. <br />Propan TUu P y2 /24/14 ��� <br />
