3. <br />ORGANIZATION <br />3.1 Membership <br />The Members of the Authority shall be the public entities which have executed <br />this Fifth Amended Agreement, a subsequent amendment, or a Subscription Agreement, and which have <br />not withdrawn from the Authority or altered their status. <br />3.2 Board <br />A. The Board shall consist of the following: <br />(i) One (1) voting Board member and an alternate appointed by the <br />governing body of each of the following: <br />City of Anaheim <br />City of Huntington Beach <br />(ii) Three (3) voting Subscriber Agency Board members and an alternate <br />appointed to one year terms as described below. The three (3) Subscriber Agencies that are each entitled <br />to be a voting Board Member shall be selected on an annual basis at the first Board meeting of the <br />calendar year by the then sitting Board Members. These voting Subscriber Agency Board Members shall <br />rotate and be selected on an annual basis to give all Subscriber Agencies equal opportunity for <br />representation on the Board. <br />B, Each Board member shall hold office from the first meeting of the Board <br />after appointment until a successor is named. Board members and alternates shall be appointed by, and <br />serve at the pleasure of, their appointing body, and may be removed at any time, with or without cause, at <br />the sole discretion of that appointing body. <br />-10- <br />
