AGREEMENT WITH MULLEN & ASSOCIATES, INCORPORATED. FOR ON -CALL <br />ELECTRICAL ENGINEERING DESIGN SERVICES <br />THIS AGREEMENT, made and entered into this I st day of April, 2014 by and between <br />Mullen & Associates, Incorporated, a California corporation (hereinafter "Consultant "), and the <br />City of Santa Ana, a charter city and municipal corporation organized and existing under the <br />Constitution and laws of the State of California ( "City "). <br />RECITALS <br />A. The City desires to retain a consultant having special skill and knowledge in the field of <br />electrical engineering and design. The City desires to retain said consultant to perform <br />electrical engineering and design consulting services on an "on- call" basis. <br />B. The City, as an entitlement recipient and grantee of the United States Department of <br />Housing and Urban Development ( "HUD ") Community Development Block Grant <br />( "CDBG ") Program, desires to enter this Agreement with the Consultant for the <br />expenditure of CDBG funds in accordance with Title 24, Part 570 of Code of Federal <br />Regulations 24 CPR 570.000, et seq. ( "CDBG Regs "). <br />C. Consultant represents that Consultant is not listed as debarred, is able and willing to <br />provide such services to the City, and will comply with the CDBG Regs. <br />D. In undertaking the performance of this Agreement, Consultant represents that it is <br />knowledgeable in its field and that any services performed by Consultant under this <br />Agreement will be performed in compliance with such standards as may reasonably be <br />expected from a professional consulting firm in the field, <br />NOW THEREFORE, in consideration of the mutual and respective promises, and subject to the <br />terms and conditions hereinafter set forth, the parties agree as follows: <br />1. SCOPE OF SERVICES <br />Consultant shall perform electrical engineering and design consulting services on an "on- <br />call" basis as set forth in the City's Request for Proposals dated January 9, 2014, attached as Exhibit <br />"A" to this Agreement and incorporated herein by reference. Said services shall be provided by <br />Consultant's persomiel and sub- consultants as set forth in consultant's proposal dated January 30, <br />2014, on file at the Santa Ana Public Works Agency. <br />2. COMPENSATION <br />a. The City agrees to pay, and Consultant agrees to accept as payment for its services the <br />rates acid charges identified in Exhibit "B" attached hereto and incorporated herein by reference, <br />Exhibit 1 <br />25F -3 <br />
