Agreement for Legal Services <br />CITY OF SANTA ANA <br />2014 Direct Placement Lease Financing <br />Refunding of the <br />Santa Ana Financing Authority <br />Police Administration and Holding Facility <br />Lease Revenue Bonds, Series 1994A <br />and /or <br />Refunding of the <br />City of Santa Ana <br />Certificates of Participation <br />(1998 City Hall Expansion Project) <br />THIS AGREEMENT FOR LEGAL SERVICES is made and entered into this day of <br />2014, by and between the CITY OF SANTA ANA (the "City "), and QUINT & <br />THIMMIG LLP, Larkspur, California ( "Attorneys "). <br />WITNESSETH: <br />WHEREAS, the City has determined that at this time, due to prevailing interest rates in the <br />municipal bond market and for other reasons, to provide for the refunding of the outstanding Santa Ana <br />Financing Authority, Police Administration and Holding Facility, Lease Revenue Bonds, Series 1994A <br />(the "1994 Bonds "), and /or the outstanding City of Santa Ana Certificates of Participation (1998 City <br />Hall Expansion Project) (the "1998 COPS ") by entering into a lease financing to accomplish such funding; <br />WHEREAS, the refinancing transaction will be structured as a direct placement lease with one or <br />more institutional investors (the "2014 Lease Financing "); <br />WHEREAS, the City requires the services of bond counsel in connection with the 2014 Lease <br />Financing; <br />WHEREAS, the City has determined that Attorneys are specially trained and experienced to <br />provide services for accomplishing such financing and Attorneys are willing to provide such services; and <br />WHEREAS, the public interest, economy and general welfare will be served by this Agreement <br />for Legal Services. <br />NOW, THEREFORE, IT IS HEREBY AGREED, as follows: <br />Exhibit 1 <br />25B -3 <br />
