INSURANCE AOS' ON FILE <br />WORK MAY T PROCEED <br />CLERK OF COUNCIL <br />DATE: ApR 1 5 2014 <br />o .c1AlNaVa1cVtlilliltrk <br />AGREEMENT FOR PROVISION OF <br />APPRAISAL CONSULTANT SERVICES <br />THIS AGREEMENT, made and entered into this I" day of January, 2014 by and <br />between Overland Pacific & Cutler, Inc., a California corporation (hereinafter <br />"Consultant") and the City of Santa Ana, a charter city and municipal corporation <br />organized and existing under the Constitution and laws of the State of California <br />(hereinafter "City"). <br />RECITALS <br />A. The City issued Request for Qualifications (RFQ 13-053) on September 12, <br />2013, in order to retain a consultant having special skill and knowledge in the <br />field of professional real estate appraisal services. <br />B. Consultant represents that Consultant is able and willing to provide such <br />services to the City. <br />C. In undertaking the performance of this Agreement, Consultant represents that it <br />is knowledgeable in its field and that any services performed by Consultant <br />under this Agreement will be performed in compliance with such standards as <br />may reasonably be expected from a professional consulting firm in the field. <br />NOW THEREFORE, in consideration of the mutual and respective promises, and <br />subject to the terms and conditions hereinafter set forth, the parties agree as follows: <br />1. SCOPE OF SERVICES <br />Consultant shall provide real estate appraisal consulting services, including <br />preparation of studies and technical reports and other necessary services, on an on-call <br />basis, at the written direction of the Executive Director of the Community Development <br />Agency, or his/her designee, in compliance with the Scope of Work, attached hereto and <br />incorporated herein as Exhibit A. The Consultant will provide an experienced, educated <br />and professional team, whose Project Manager and staff shad be responsive and maintain <br />excellent working relationships with City staff. The Consultant shall be committed to <br />provide adequate staffing levels at all times in order to adhere to established schedules. <br />Consultant acknowledges and agrees to all of the terms and conditions of each of the <br />exhibits attached hereto and incorporated herein. <br />2. REPRESENTATIVES <br />For purposes of implementing this Agreement, the representative of City shall be <br />the Executive Director of the Community Development Agency, or his/her designee, and <br />the representative of the Consultant shall be the Program Manager or his/her designated <br />representative.
