(c) Applicable Law. This License will be governed by the laws of the State of California, Any suit, claim, or legal proceeding of any kind related to this Agreement shall be Filed and heard in a court of competent jurisdiction in the County of Contra Costa. Any party may change its address appearing in the introductory paragraph to this License by giving notice of the change in accordance with this paragraph. (e) No Agency. Nothing contained herein will be construed as creating any agency, partnership, joint venture or other form of joint enterprise between the parties, (1) Assignment. The rights conferred by this License shall not be assignable by the Licensee Without Licensor's prior written consent. Waiver of a breach or default under this Agreement shall not constitute a continuing waiver or a waiver of a subsequent breach of the same or any other provision of this Agreement.
