THIS THIRD AMENDMENT TO TRAINING AND EXERCISE PLAN <br />AGREEMENT is entered into on February 18, 2014 by and between WILLDAN <br />HOMELAND SOLUTIONS, INC., a California corporation (hereinafter "Consultant "), <br />and the City of Santa Ana, a charter city and municipal corporation organized and <br />existing under the Constitution and laws of the State of California (hereinafter "City'. <br />RECITALS <br />A. The parties entered into Agreement # A -2012 -218, dated October 15, 2012, <br />(hereinafter "said Agreement ") by which Consultant has provided Homeland Security <br />training and exercise programs paid for with Anaheim/Santa Ana Urban Areas Security <br />Initiative ( "UASP') grant funds from fiscal year 2011. <br />B. The parties entered into a First Amendment of the Agreement #A -2012- 218 -001 dated <br />August 21, 2013 wherein they agreed to increase the hourly rate for "Program <br />Management Services" to $60.58 an hour with a yearly increase for cost of living not <br />to exceed 5% each year thereafter. The First Amendment also added sub- section (n) to <br />Section 17 entitled Consultant Certifications. Finally, the First Amendment amended <br />Section I entitled Scope of Work to add a list of training and exercise programs. <br />C. The parties entered into a Second Amendment of the Agreement #A- 2012 -2t8 -002 <br />dated December 4, 2013 wherein they amended Section '1 entitled Scope of Work to <br />add a list of training and exercise components to the Multi -Year Training and Exercise <br />Program funded through UASI. <br />D. The grant funds for fiscal year 2011 and 2012 have been used and the City has <br />received additional funding by way of the fiscal year 2013 UASI grant. As a result of <br />the new funding source, the City as co -lead agency (sharing responsibility with the <br />City of Anaheim) for Anahcim /Santa Ana Urban Area needs to modify the multi -year <br />agreement to update the homeland security training and exercises offered during the <br />last year and eight months of"the Agreement for the Anaheim/Santa Ana Urban Area <br />and to reflect an additional ,$500,000 in funding. <br />E. In accordance with the terns and conditions of said Agreement, the parties wish to amend <br />the Scope of Work to provide updated additional services. The parties also wish to amend <br />the Agreement to increase the compensation from $1,000,000 to $1,500,000. Finally, the <br />parties wish to amend the Agreement to provide a change order process by which the <br />parties can maintain flexibility to provide training and exercise programs as the need arises <br />and pursuant to mutual agreement of the involved parties. The rest of the tennis set forth in <br />the original Agreement shall remain the sarne. <br />WHEREFORE, in consideration of the covenants contained in said Agreement, and <br />subject to all the terms and conditions of said Agreement, except those amended in this <br />Third Amendment to Agreement, the parties agree as follows: <br />
