Lease Agreement (hereinafter defined) and the rights of the Authority under the Site and <br />Facility Lease (hereinafter defined); <br />(b) a site and facility lease, by and between the City, as lessor, and the Authority, <br />as lessee (the "Site and Facility Lease "), pursuant to which the City will lease certain <br />existing real property and the improvements thereon (the 'Property ") to the Authority; <br />(c) a lease agreement, by and between the Authority, as lessor, and the City, as <br />lessee (the "Lease Agreement'), pursuant to which the Authority will lease back to the <br />City and pursuant to which the City will agree to make semi - annual lease payments (the <br />"Lease Payments "); <br />(d) an escrow deposit and trust agreement, by and among the Authority, the City <br />and The Bank of New York Mellon Trust Company, N.A., as successor trustee for the <br />1994 Bonds and as escrow bank, providing for the defeasance of the Defeased 1994 <br />Bonds; <br />(e) an escrow deposit and trust agreement, by and between the City and The <br />Bank of New York Mellon Trust Company, N.A., as successor trustee for the 1998 <br />Certificates and as escrow bank (the "1998 Trustee "), providing for the defeasance of <br />the 1998 Certificates; <br />(f) a termination agreement, by and among the City, the Authority and the 1998 <br />Trustee, whereby the City, the Authority and the 1998 Trustee agree to terminate the <br />documents relating to the 1998 Certificates; <br />(g) a modification to the ground lease, by and between the City and the Authority, <br />executed in connection with the 1994 Bonds, subsequently modified and amended, to <br />provide for the substitution of the property that is the subject thereof; and <br />(h) a modification to the 1994 Lease Agreement, by and between the Authority <br />and the City, subsequently modified and amended; to provide for the substitution of the <br />property that is the subject thereof. <br />Section 3. The Mayor, the City Manager, the Executive Director of Finance, the Clerk, <br />of the Council and all other appropriate officials of the City, are hereby authorized and <br />directed to execute such other agreements, documents and certificates and to take <br />such other actions as may be necessary to effect the purposes of this resolution and the <br />financing herein authorized. <br />Resolution No. 2014 -029 <br />Page 3 of 5 <br />
