the Lease Payments thereunder; <br />(e) an assignment agreement, by and between the Authority and CB, as assignee, <br />pursuant to which the Authority will assign to CB certain of its rights under the Site and <br />Facility Lease and the Lease Agreement, including its right to receive a portion of the Lease <br />Payments thereunder; <br />(f) an assignment agreement, by and between the Authority and COPF, as assignee, <br />pursuant to which the Authority will assign to COPF certain of its rights under the Site and <br />Facility Lease and the Lease Agreement, including its right to receive a portion of the Lease <br />Payments thereunder; <br />(g) an escrow deposit and trust agreement, by and among the Authority, the City and <br />The Bank of New York Mellon Trust Company, N.A., as successor trustee for the 1994 <br />Bonds and as escrow bank, providing for the defeasance of the Defeased 1994 Bonds; <br />(h) a termination agreement, by and among the City, the Authority and The Bank of <br />New York Mellon Trust Company, N.A., as successor trustee for the 1998 Certificates (the <br />"1998 Trustee "), whereby the City, the Authority and the 1998 Trustee agree to terminate <br />the documents relating to the 1998 Certificates; <br />(i) a modification to the ground lease, by and between the City and the Authority, <br />executed in connection with the 1994 Bonds, subsequently modified and amended, to <br />provide for the substitution of the property that is the subject thereof; and <br />(j) a modification to the 1994 Lease Agreement, by and between the Authority and <br />the City, subsequently modified and amended, to provide for the substitution of the property <br />that is the subject thereof. <br />Section 2. The Chair, Executive Director, Treasurer, and Secretary and other <br />officials of the Authority are hereby authorized and directed to execute such other <br />agreements, documents and certificates and to take such other actions as may be <br />necessary to effect the purposes of this resolution and the lease financing herein <br />authorized. <br />Section 3.
