FIRST AMENDMENT TO AGREEMENT FOR PROVISION OF <br />PARKING CONTROL ENFORCEMENT SERVICES <br />THIS FIRST AMENDMENT to the Agreement for parking control services, <br />made and entered into this 17th day of June, 2014 by Central Parking System, Inc., a <br />Tennessee corporation (hereinafter "Contractor "), and the City of Santa Ana, a charter <br />city and municipal corporation organized and existing under the Constitution and laws of <br />the State of California (hereinafter "City "). <br />RECITALS <br />A. On July 16, 2012, the parties entered into Agreement #A- 2012 -165 an <br />Agreement for provision of parking control enforcement services after a Request for <br />Proposal ( "RFP ") determined that contractor had the best quality services at minimum costs <br />to the City. The Agreement was for a term of two (2) years with three (3) additional two - <br />year periods, for a maximum of eight (8) years. The agreement also provided for an annual <br />adjustment of parking control charges (not to exceed 2 %) upon agreement of the parties. <br />B. The parties wish to exercise the first two (2) year extension of the agreement <br />and increase the annual not to exceed amount of the Agreement by 1.5% ($40,894). <br />C. The parties also wish to increase the agreement amount to include four (4) <br />part -time parking control officers to enforce various municipal code parking violations, <br />including permit parking at a cost of $158,005 annually and to add a 15% contingency to <br />cover unforeseen parking control needs. <br />NOW, THEREFORE, in consideration of the mutual and respective promises, and <br />subject to all the terms and conditions of said Agreement, except as herein modified, the <br />parties agree as follows: <br />1. Section 2a. COMPENSATION, shall be amended as follows: <br />To increase the annual contract amount from $410,548.82 to $700,865.00 per year <br />for a total amount of $1,401,730.00. <br />2. Section 4. TERM, shall be amended as follows: <br />Pursuant to the terms of Section 4, City exercises its option to extend the term of <br />the Agreement for a two (2) year period beginning June 30, 2014 and terminating on June <br />30, 2016. <br />3. The parties further agree that, except as indicated above, all other provisions of the <br />original Agreement remain in full effect. <br />20A -3 <br />
