(3) Out -of- Pocket Expenses. Laserfiche will not charge travel - related <br />expenses or time for travel to and from Licensee's location in Santa Ana, California. <br />Licensee will reimburse Laserfiche for all other reasonable out -of- pocket expenses as <br />specified in the SOW that are incurred in performance of the Services. Laserfiche will <br />obtain Licensee's written approval before incurring an expense which is not authorized <br />by any SOW, purchase order, or other writing signed by Licensee, and which exceeds <br />$2,500, unless Laserfiche incurs the expense due to emergency or other unforeseen <br />circumstances which delay Laserfiche's ability to obtain such approval, in which case <br />Laserfiche will seek approval of the expense after the fact. Licensee will approve all <br />reasonable and necessary expenses incurred by Laserfiche in performance of the Services <br />within 10 business days following Laserfiche's request for approval. Approval of <br />expenses may be by email, fax or other communication confirmed in writing. <br />B. Obligations of Laserfiche <br />(1) Work on Licensee's Premises. Laserfiche's employees and agents will, <br />whenever on Licensee's premises, obey all reasonable instructions and directions issued <br />by Licensee. <br />(2) Project Manager. Laserfiche will assign a Project Manager for the work to <br />be provided in any SOW. The Project Manager will act as Laserfiche's representative <br />and contact person with regard to the Services furnished to Licensee pursuant to this <br />Agreement. Should this person no longer be active on Licensee's account or cease to be <br />employed by Laserfiche for any reason, Laserfiche will designate a successor Project <br />Manager reasonably acceptable to Licensee. <br />(3) Consultations, Reports. Laserfiche will make available Laserfiche's <br />representative, who will be mutually agreed upon by Laserfiche and Licensee, for <br />monthly meetings, either in person or by telephone conference, to review the progress of <br />all work under this Agreement. If requested by Licensee, Laserfiche will also prepare and <br />submit to Licensee each month a written report setting forth the status of such work in a <br />format to be mutually agreed upon by Laserfiche and Licensee. <br />C. Obligations of Licensee <br />(1) Licensee agrees to make available to Laserfiche, upon reasonable notice, <br />computer programs, data and documentation required by Laserfiche to complete the <br />Services. <br />(2) Project Manager. Licensee will assign its own Project Manager to be <br />Licensee's representative and contact person with regard to the Services to be furnished <br />to Licensee pursuant to this Agreement; and should this person no longer be active on the <br />Laserfiche project or cease to be employed by Licensee for any reason, Licensee will <br />designate a successor Project Manager reasonably acceptable to Laserfiche. <br />D.
