D. Construction of the Community Center is not completed within three (3) years of the date of <br />this Agreement, provided that the City uses its best efforts to complete construction and <br />such construction was not delayed due to factors beyond Delhi's control; or <br />E. Delhi otherwise defaults on its obligations under this Agreement. <br />Section 509. Right to Reenter, Repossess, Terminate and Revest <br />1. The City shall have the right, at its option, to reenter and take possession of the <br />Property with all improvements thereon and to terminate and revest in the City the leasehold interest <br />conveyed to Delhi, if after completion of construction of the Community Center, Delhi (or its <br />successors in interest) shall, in violation of the terms of this Agreement: <br />a. Fail to obtain funding for the construction of the improvements as required by this <br />Agreement within 2 years of the date of this Agreement, provided that the Delhi shall not have <br />obtained an extension or postponement to which Delhi may be entitled pursuant to Section 610 <br />hereof; or <br />b. Abandon or substantially suspend payment for construction of the improvements for a <br />period of six (6) months after written notice of such abandonment or suspension from the City, <br />provided that Delhi shall not have obtained an extension or postponement to which Delhi may be <br />entitled to pursuant to Section 610 hereof; or <br />C. Assign this Agreement, or any rights herein, or transfer, or suffer any involuntary <br />transfer of the Property, or any part thereof, in violation of this Agreement, and such violation shall <br />not be cured within thirty (30) days after the date of receipt of written notice thereof by the City to <br />Delhi; or <br />d. Fail to complete construction of the Community Center within three (3) years of the <br />date of this Agreement, provided that the City uses its best efforts to complete construction and such <br />constriction was not delayed due to factors beyond Delhi's control. . <br />2. The right to reenter, repossess, terminate, and revest shall be subj ect to and be limited <br />by and shall not defeat, render invalid, or limit: <br />a. Any mortgage, deed of trust, instrument of sale and leaseback or other security <br />instrument or conveyance for financing permitted by this Agreement; <br />b. Any rights or interest provided in this Agreement for the protection of the holders of <br />such mortgages, deeds of trust, or other security instruments, the lessor under such a sale and <br />leaseback, or the grantee under such other conveyance for financing; or <br />
