14dO K1ANOPiROCEE <br />waRK>>gAy Paact�D <br />UNTIL INSURANCE EXPIRES <br />k CLERK OF COUNCIL <br />h DATE: <br />APR I S 2014 SECOND AMENDMENT TO CONSULTANT AGREEMENT <br />1 <br />THIS SECOND AMENDMENT TO CONSULTANT AGREEMENT is entered <br />into on March 4, 2014 by and between Westbound Cosumunieations, Inc., a California <br />corporation (hereinafter "Consultant "), and the City of Santa Ana, a charter city and <br />municipal corporation organized and existing under the Constitution and laws of the State <br />of California (hereinafter "City"). <br />RECITALS <br />A- 2014 -061 <br />A. The parties entered into Agreement # A -2013 -032, dated February 19, 2013, <br />(hereinafter "said Agreement ") by which Consultant has provided web site <br />enhancement and hosting services, as well as, promotional services, expansion and <br />updating of the Ready (ROC) Emergency Preparedness Campaign also known as Ready <br />OC. In addition, creation and implementation of a public service campaign using the <br />branding and consistent messaging of the State of New York Metropolitan Transit <br />Authority's "If You See Something Say Something®" campaign. <br />B. The parties entered into a First Amendment of the Agreement #A -2013- 032 -001 dated <br />October 1, 2013 wherein the scope of services was amended to change the deliverables <br />which were provided in certain tasks, authorize the expenditure of contingency funds <br />in relation to specific tasks, and adopt the certifications that are required as a condition <br />of Urban Areas Security Initiative ( "UASI ") grant funding. <br />C. The grant funds for fiscal year 2011 and 2012 have been used and the City has <br />received additional funding by way of the fiscal year 2013 UASI grant. As a result of <br />the new funding source and pursuant to the terms of the Agreement, the City as co -lead <br />agency (sharing responsibility with the City of Anaheim) for Anaheim/Santa Ana <br />Urban Area needs to modify the Agreement to reflect additional funding in the amount <br />of $385,000 for the remainder of the Agreement and to expand and update the scope of <br />services. The $385,000 includes $200,000 for the OC Ready campaign, $150,000 for <br />the "IfYou See Something Say Something8" campaign and a 10% contingency. The <br />expanded scope of services will include maintaining the current Ready OC website, <br />planning and executing several multi -media events, expanding outreach into social <br />media venues and continued support of core advisory and business partnership groups. <br />It will also include expansion of the "If You See Something Say Something®" <br />campaign. <br />WHEREFORE, in consideration of the covenants contained in said Agreement, arid <br />subject to all the terms and conditions of said Agreement, except those amended in this <br />Second Amendment to Agreement, the parties agree as follows: <br />1. Section 1, SCOPE OF SERVICES, the original scope of services for the OC Ready <br />campaign referenced as Exhibit "A" shall be deleted and replaced with the attached Exhibit <br />"A- I ", incorporated herein by reference. The original scope of services for the "If You See <br />Something Say Somethingg" campaign referenced as Exhibit "A" (FYI 1) and Exhibit B "B" <br />(FY 12) will be deleted and replaced with Exhibit "B -1" In addition, the scope of services <br />will be amended to provide that the final determination of services provided by Consultant <br />may be adjusted in writing by mutual agreement of the parties and executed by the City <br />Manager or the Clef of Police. <br />
