TS <br />1 <br />a� <br />A- 2013 - 025-41 <br />ASSIGNMENT AND ASSUMPTION OF AGREEMENT <br />THIS ASSIGNMENT AND ASSUMPTION OF AGREEMENT, made and entered into thisS1 <br />day of March, 2014 by and between and the City of Santa Ana, a charter city and municipal corporation <br />organized and existing under the Constitution and laws of the State of California (hereinafter "City ") and <br />P1aeeWorks, formerly known as the Planning Center (hereinafter "Assignor "). <br />RECITALS <br />A. The City and the Assignor executed an agreement for professional services related to <br />environmental review and consulting services dated February 4, 2013 (the "Agreement'). <br />B. The Assignor changed its corporate name to "P1aceWorks" ( "Assignee ") on or about <br />M8.►"Ch_, 2014. <br />C. Assignor wishes to assign the Agreement to the Assignee, a California corporation, Tax <br />Identification Number g5.2gi582i , and Assignee agrees to assume all rights, responsibilities <br />and obligations pursuant to said Agreement, and the City consents to this assignment. <br />NOW THEREFORE, in consideration of the mutual and respective promises, the parties agree as follows: <br />ASSIGNMENT AND ASSUMPTION OF AGREEMENT <br />Assignor hereby assigns, transfers and conveys all of its rights, obligations, interest, liabilities and <br />responsibilities in and to the Agreement to Assignee. Assignee hereby accepts such assignment and <br />assames such rights, obligations, interest, liabilities and responsibilities in and to the Agreement, whether <br />such rights, obligations, interest, liabilities and responsibilities arose before or after the date of this <br />Agreement. <br />2.
