Fd� ement DOT -213 City of Santa Ana <br />642572 <br />Page 5 of 29 <br />EXHIBIT B <br />ONTRACTOR shall pay any third -party contractor not later than 10 -days of receipt of each <br />ss payment unless a longer period is agreed to in writing, as cited In the California <br />ss and Professions Code, Section 7108.5, <br />the CONTRACTOR choose to include retainers in third party contracts, the <br />RACTOR must adhere to the requirements of Section 7108.5 as cited above. The <br />ACTOR must ensure prompt and full payment of retainage to third -party contractors no <br />an 30 days after the third -party contractor's work is sa tisfactorily completed, as cited in 49 <br />art 26.29, <br />4. Project Payment Closeout Clause <br />A. CONTRACTOR agrees that once PROJECT payment is complete, any outstanding balance will <br />revert to the STATE for distribution or reallocation to the FTA Section 5310 Program. <br />B. Upon successful completion of the PROJECT or upon termination by STATE, the parties shall <br />determine the amount of compensation, if any, to be repaid by the CONTRACTOR to the STATE <br />in order to avoid any STATE liability to FTA due to payments erroneously made to the <br />CONTRACTOR in excess of the total PROJECT amount eligible for Federal reimbursement. <br />r <br />i <br />Rev. 03125/2014 <br />i <br />20A -10 <br />
