Assignment. Laserfiche reserves the right to assign its obligations to perform the terms and <br />conditions of this Agreement to a qualified third party designated by Laserfiche. In that event, <br />you agree to look solely to Laserfiche's designee for performance of Laserfiche's obligations <br />under this Agreement. <br />Exclusive Agreement. This Agreement contains the sole and exclusive agreement between you <br />and Laserfiche relating to its subject matter. It shall not be modified or amended in any way by <br />any purchase order or other document issued by you, but may be amended only by a writing <br />signed by both you and Laserfiche and specifically referring to it. <br />Additional Services. With regard to any services that are not within the scope of services under <br />this Agreement, it will be within Laserfiche's discretion whether to perform the services, and, if <br />Laserfiche elects to perform the services, the services will be subject to an additional charge to <br />be paid by you. <br />Important Notice. Before requesting services, it is your responsibility to back up the software <br />and data on your system's hard disk drive and on any other storage device(s) in the system. <br />Under no circumstances shall Laserfiche be responsible for any loss of any software or data. <br />Force Majeure. Laserfiche is not liable for any failure or delay in performance due to any cause <br />beyond its control. In any event, if Laserfiche's ability to render repair services is impaired by <br />you or circumstances beyond Laserfiche's control, Laserfiche may terminate this Agreement. <br />Law: Jurisdiction. This Agreement will be governed and construed by the laws of the State of <br />California. The headings are for convenience only and are not to be used to interpret this <br />Agreement. All disputes between you and Laserfiche shall be litigated in the state and federal <br />courts located in Los Angeles County, California; and you consent to jurisdiction of the courts <br />located in the State of California over all disputes between you and Laserfiche. <br />Contact Us.
