famished and any SOW attached to this Agreement are subject to the following terms and <br />conditions: <br />A. Payment for Services <br />(1) VIP Professional Services. Laserfiche provides a VIP Professional <br />Services Pack that includes a designated number of pre -paid discounted Laserfiche <br />professional services hours as well as other special client benefits including admission to <br />the annual Laserfiche User Conference, VIP Service hours are most commonly utilized <br />to provide services that are not covered by LSAP as well as for small projects that come <br />up throughout the year. <br />Licensee will pay Laserfiche the amounts for the quantities of the VIP <br />Professional Services Pack(s) specified in Schedule D, Description of Professional <br />Services, for the June 12, 2014, - June 11, 2015, period. Licensee may use these hours as <br />it desires for Laserfiche professional services engagements with an associated SOW <br />totaling 40 hours or less. The VIP Professional Services Pack hours can fund Laserfiche <br />professional services including installation, configuration, custom training, consulting, <br />project management, and other implementation services involving the Laserfiche <br />solution. The term of each VIP Professional Services Pack purchased will be one (1) year <br />and will coincide with the annual LSAP maintenance term. Laserfiche will track <br />Licensee's VIP Professional Services hours used and provide usage and balance <br />information to Licensee upon request. Unused VIP Professional Services hours will <br />expire at the end of that year's term. Licensee is not required to purchase the VIP <br />Professional Services Pack but may do so in whole or fractional amounts with each year's <br />LSAP renewal. <br />(2) Fees, Price Protection. Laserfiche Professional Service hours provided <br />will be deducted from any available hours in Licensee's VIP Professional Services Pack <br />Hours bank. When Licensee's VIP Professional Services Pack hours have been <br />exhausted, Laserfiche Professional Services will be billed to Licensee on a Time and <br />Materials (T&M) basis of the actual hours worked at the Laserfiche Professional Services <br />Rates specified in Schedule D. <br />Laserfiche will make available Laserfiche Professional. Services to Licensee at the <br />rates specified in Schedule D for a period of thirty-six (36) months from the execution <br />date of this Agreement. Thereafter, Professional Services rates will be at Laserfiche's <br />then -published rates or as agreed upon by the parties. <br />The fees specified in any SOW are the total fees and charges for the Services <br />specifically described in that SOW. If Licensee requires Services not specified in the <br />SOW, or if the scope of work changes, Laserfiche will provide such Services at the rates <br />specified in Schedule D, or, if after the term of this Agreement, at Laserfiche's then - <br />published rates. Upon Licensee's Acceptance of all or any portion of the Services or <br />Acceptance of the Laserfiche Software, and except as otherwise specifically set forth in <br />this Agreement, the fees paid or owed to Laserfiche for the Services which Laserfiche has <br />furnished before such Acceptance will be final and non-refundable. <br />Laserfiche Enterprise S,*ware License and <br />Prgl sshntat Services Agreement Page 5 <br />
