acquired and enjoyed by the City, including the City's right to exist and carry on business as a <br />municipal corporation, to the end that such rights, privileges and franchises shall be <br />maintained and preserved, and shall not become abandoned, forfeited or in any manner <br />impaired. <br />Section 7.11. Notices. During the Term of this Lease Agreement, the City shall provide <br />to the Assignees: <br />(a) immediate notice by telephone, promptly confirmed in writing, of any event, action <br />or failure to take any action which constitutes an Event of Default under this Lease <br />Agreement, together with a detailed statement by a City Representative of the steps being <br />taken by the City to cure the effect of such Event of Default. <br />(b) prompt written notice of any Material Litigation, or any investigation, inquiry or <br />similar proceeding by any Governmental Authority. <br />(c) with reasonable promptness, such other information respecting the City, and the <br />operations, affairs and financial condition of the City as the Assignees may from time to time <br />reasonably request. <br />(d) Notices of filings with the Municipal Securities Regulatory Board's EMMA system, <br />other than regular annual filings. <br />(e) Notice of an event that could cause a Material Adverse Effect. <br />_27_ <br />
