Section 9.2. Optional Prepayment. <br />(a) The principal components of the Lease Payments shown in Exhibits C -1, C -2 and C- <br />3 are not prepayable. <br />(b) The City may prepay the principal component of the Lease Payments shown in <br />Exhibit C -4, in whole or in part, on any date on and after July 1, 2019, upon at least 30 days' <br />notice to COPF, in such order as shall be determined by the City, at a prepayment price equal <br />to the principal amount of the principal component of Lease Payments to be prepaid, together <br />with accrued interest to the date fixed for prepayment, and a prepayment premium <br />calculated as a percentage of the amount prepaid, as set forth below: <br />Prepayment Period <br />July 1, 2019, through June 30, 2020 <br />July 1, 2020, through June 30, 2021 <br />July 1, 2021, and thereafter <br />Premium <br />2% <br />1% <br />0% <br />Section 9.3. Mandatory Prepayment From Net Proceeds of Insurance or Eminent <br />Domain. The City shall be obligated to prepay the unpaid principal components of the Lease <br />Payments in whole or in part in such order of prepayment as shall be selected by the City on <br />any date, together with any accrued and unpaid interest, and any other costs related to such <br />prepayment, from and to the extent of any proceeds of insurance award or condemnation <br />award with respect to the Property to be used for such purpose under Section 6.2. The City <br />and the Authority hereby agree that such proceeds, to the extent remaining after payment of <br />any delinquent Lease Payments, shall be credited towards the City's obligations under this <br />Section 9.3. <br />-32- <br />
