Binding Effect. This Lease Agreement inures to the benefit of and is <br />binding upon the Authority, the City and their respective successors and assigns. <br />Section 10.3. Severability. If any provision of this Lease Agreement is held invalid or <br />unenforceable by any court of competent jurisdiction, such holding will not invalidate or render <br />unenforceable any other provision hereof. <br />Section 10.4. Net - net -net Lease. This Lease Agreement is a "net- net -net lease' and the <br />City hereby agrees that the Lease Payments are an absolute net return to the Authority, free <br />and clear of any expenses, charges or set -offs whatsoever. <br />Section 10.5. Further Assurances and Corrective Instruments. The Authority and the <br />City agree that they will, from time to time, execute, acknowledge and deliver, or cause to be <br />executed, acknowledged and delivered, such supplements hereto and such further instruments <br />as may reasonably be required for correcting any inadequate or incorrect description of the <br />Property hereby leased or intended to be so or for carrying out the expressed intention of this <br />Lease Agreement. <br />Section 10.6. Execution in Counterparts. This Lease Agreement may be executed in <br />several counterparts, each of which is an original and all of which constitutes one and the same <br />instrument. <br />Section 10.7. Applicable Law. This Lease Agreement is governed by and construed in <br />accordance with the laws of the State. <br />Section 10.8. Captions. The captions or headings in this Lease Agreement are for <br />convenience only and in no way define, limit or describe the scope or intent of any provisions or <br />section of this Lease Agreement. <br />-34- <br />
