(h) the City has furnished the Authority, the Trustee and the Bond Insurer with <br />evidence that the City has delivered to any rating agency then rating the Bonds copies <br />of the Certificates and appraisal described in paragraphs (a) and (b) above; <br />(i) the City has certified to the Authority, the Trustee and the Bond Insurer that <br />the substitute Property is.of "the same or greater essentiality to the City as was the <br />former Property; and <br />(j) the City has obtained the prior written consent to such substitution from the <br />Bond Insurer. <br />SECTION 3. Lease Agreement in Full Force and Effect. Except as amended by this <br />Third Modification to Lease Agreement, the Lease Agreement remains in full force and effect. <br />SECTION 4. Execution in Counterparts. This Third Modification to Lease Agreement <br />may be executed in several counterparts, each of which shall be an original and all of which <br />shall constitute but one and the same instrument. <br />SECTION 5. Applicable Law. This Third Modification to Lease Agreement shall be <br />governed by and construed in accordance with the laws of the State of California. <br />-4- <br />
