N -2014 -095 SETTLEMENT AGREEMENT $ AND Gc1'.Persor+ae\ Ct� RELEASE Eb R°Na This Settlement Agreement and Release ( "AGREEMENT ") is made and entered into by and between VANESSA PERRIGOUE O' Perrigoue") and the CITY OF SANTA ANA, ( "City"). WHEREAS: A dispute has arisen between Perrigoue and City which resulted in Porrigoue's cessation of employment with the City on February 24, 2014 and Perrigoue's filing of a currently pending appeal to the Personnel Board for the City. Perrigoue and City wish to resolve their disputes on the terms set forth herein. Now, therefore, in consideration of the mutual covenants and promises herein contained and other good and valuable consideration, receipt of which is hereby acknowledged, it is hereby agreed by and between the parties as follows: 1. Upon Perrigoue's execution of this Settlement Agreement City will extend the cessation date of Perrigoue's employment with the City by three (3) months to May 24, 2014. All regular salary and wages owed to Perrigoue for the period of February 24, 2014 through May 24, 2014, less all applicable withholdings and deductions, shall be paid to Perrigoue with the regularly scheduled payroll of June 5, 2014. Additionally, at that time City shall issue to Perrigoue a separate check representing agreed upon'medical benefits for the period in the amount of $4,495.00. Said check will be made payable as follows: "Vanessa Perrigoue and her attorney Charles Ferrari.." City also agrees that it will not oppose Perrigoue's application for state unemployment benefits, if any. 2. Concurrently with Perrigoue's execution of this Settlement Agreement, Perrigoue shall file a dismissal of her pending appeal with City's Personnel Board. 3. Perrigoue aelmowledges and agrees that the City has made no representations to her regarding the tax consequences of any amounts received by her pursuant to this Agreement. Perrigoue agrees that she and she alone is liable for all taxes, if any, which are owed by her on any amount received hereunder including interest and penalties, Perrigoue will hold the City harmless from any and all claims made by federal, state, or local taxing authorities or lien holders against Perrigoue on amounts owed by her. 4. Perrigoue represents that, with the exception of the aforementioned appeal to the City's Personnel Board, she has not filed any complaints, claims, or actions against City including any of its officers, agents, directors, supervisors, employees, orrepresentatives of City with any state, federal, or local agency or court and that she will not do so at any time hereafter as it relates to her employment with City and that if any agency or court assumes jurisdiction of any complaint, claim, Page 1 0£4
