Section 6. Survival. Except as specifically provided in this Second Supplement, <br />all terms and conditions of the Indenture shall remain in full force and effect, unaltered <br />and unamended hereby. <br />Section 7. Counterparts. This Second Supplement may be executed in several <br />counterparts, each of which shall be deemed an original, but all of which together shall <br />constitute one and the same document. <br />Section 8. Governing Law. This Second Supplement shall be governed by and <br />construed and interpreted in accordance with the Constitution and laws of the State of <br />California without giving effect to conflict of laws principles thereof. <br />Section 9. Headings. Headings of Sections in this Second Supplement are for <br />reference purposes only and shall not be deemed to have any substantive effect. <br />IN WITNESS WHEREOF, the SANTA ANA FINANCING AUTHORITY has <br />caused this Second Supplement to be signed in its name by one of its authorized <br />officers, and THE BANK OF NEW YORK MELLON TRUST COMPANY, N.A., as <br />Trustee, in token of its acceptance of the trusts created hereunder, has caused Second <br />Supplement to be signed in its corporate name by one of its authorized officers, all as of <br />the day and year first above written. <br />Attest: <br />Maria D.
