INSURANCE ON PILL <br />WORK MAY PROCEW <br />UNTIL INSURANCE EXPIRES <br />SCJ CLERK Of COUNCIL <br />4 DATE: -t--13—J Y ON-CALL DEMOLITION SERVICES AGREEMENT <br />THIS AGREEMENT, made and entered into this 5th day of August, 2014 by and <br />between NorthStar Demolition and Remediation, LP, a California limited partnership and a <br />NorthStar Group Holdings Company (hereinafter "Contractor"), and the City of Santa Ana, a <br />charter city and municipal corporation organized and existing under the Constitution and laws of <br />the State of California (hereinafter "City"). <br />RECITALS <br />A. On or about May 6, 2014, the City issued a Request for Proposal ("RFP") No, 14-026 <br />for on-call demolition services on an as -needed basis for projects which include but <br />are not limited to: various phases of the Bristol Street, Grand Avenue, and Warner <br />Avenue Widening Projects. Contractor was one of the companies that submitted a <br />proposal. The proposals were evaluated and Contractor was one of two companies <br />selected to provide on-call demolition services. <br />B. The City desires to retain a Contractor having special skill and knowledge in the field of <br />providing on-call demolition services. <br />C. Contractor represents that Contractor is able and willing to provide such services to the <br />City. <br />D. In undertaking die performance of this Agreement, Contractor represents that it is <br />knowledgeable in its field and that any services performed by Contractor under this <br />Agreement will be performed in compliance with such standards as may reasonably be <br />expected from a professional consulting firm in the field. <br />NOW THEREFORE, in consideration of the mutual and respective promises, and subject to the <br />toms and conditions hereinafter set forth, the parties agree as follows: <br />1. SCOPE OF SERVICES <br />Contractor shall provide on-call demolition services, as set forth in the City's On -Call <br />Demolition Services RFP #14-026, dated May 6, 2014, attached hereto as Exhibit A, and <br />Contractor's Proposal, dated May 27, 2014, attached hereto as Exhibit B and incorporated by <br />reference. <br />2. COMPENSATION <br />a. City agrees to pay, and Contractor agrees to accept as total payment for its <br />services, the rates and charges identified in its proposal attached hereto as Exhibit B. The total <br />sum to be expended under this Agreement shall not exceed four hundred thousand dollars and <br />zero cents ($400,000:00). <br />
