PRc5C I) DEC 9 s 2014 THIRD AMENDMENT TO AGREEMENT N-2012-026-003 pp�� THIS THIRD AMENDMENT, effective as of the I" day of January 2015, by and between the City of ,82W t" Santa Ana, a charter city and municipal corporation duly organized and existing under the Constitution and Ctpiypo, laws of the State of California ("City"), and Chihiro Sano ("Provider"). 1RZECITALS A. The City and Provider entered into that certain Agreement dated January 1, 2012, entitled "Recreation Services Agreement", hereinafter referred to as "said Agreement" (#N-2012-026), to provide ballet and yoga classes in the City's leisure class program. Said Agreement was amended by the First Amendment to Agreement on January 16, 2012 (#N-2012-026-001) to revise the Scope of Services and amend the Term. B. The City and Provider entered into a Second Amendment dated January 1, 2014 entitled "Second Amendment to Agreement" (#N-2012-026-002), to provide ballet and yoga classes in the City's leisure class program. The Second Amendment revised the costs for the dance classes. C. The Parties hereto now wish to finther amend the provisions for the compensation and, terms of the Agreement. WHEREFORE, in consideration of the mutual and respective covenants and promises hereinafter contained and made, and subject to all of the terms and conditions of said Agreement as hereby amended, the parties hereto do hereby agree as follows: COMPENSATION In consideration for the right to provide the programs set forth in Exhibit "A" Provider shall receive the percentage of participant fees as set forth in paragraph 4 of Exhibit "A," Payment to Provider shall be made within thirty (30) days following completion of each class. 2. TERM This Agreement shall commence on January 1, 2015 and terminate on December 31, 2016, unless terminated earlier in accordance with Section 11, below. The Term of this Agreement may be extended upon a, writing executed by the Executive Director of Parks, Recreation and Community Services and the City Manager. 3. Except as hereinabove modified, the terms and conditions of said Agreement, as amended, remain unchanged and in full force and effect.
