tt <br />FMs <br />Sander at�mbn <br />AMENDMENT TO OPENGOV, INC. <br />SOFTWARE AGREEMENT <br />THIS AMENDMENT TO OPENGOV, INC. SOFTWARE AGREEMENT made <br />and entered into this 23rd day of December, 2014, by and between OpenGov, Inc., a <br />Delaware corporation ( "OpenGov ") and the City of Santa Ana, a charter city and <br />municipal corporation organized and existing under the Constitution and laws of the State <br />of California ( "City"). <br />RECITALS: <br />A. The parties entered into that certain Software Agreement N- 2014 -097, dated April 5, <br />2014 (hereinafter "said Agreement ") by which OpenGov has provided annual and <br />monthly transparency services through a proprietary web application that visualizes <br />the City's general ledger of accounts and provides public access through an online <br />portal. <br />B. The parties desire to amend the Scope of Services clause of the Agreement to add the <br />annual Checkbook Report service and amend the Compensation clause to provide an <br />additional $3,000 for said additional services. <br />WHEREFORE, in consideration of the covenants contained in said Agreement, and <br />subject to all the terns and conditions of said Agreement, except those amended in this <br />Amendment to Agreement, the parties agree as follows: <br />1. Page 1 of the Agreement, section entitled SOFTWARE SERVICES, shall be <br />amended and updated to include the following: <br />"OpenGov's Checkbook Report: A proprietary web application that visualizes the <br />customer's detailed expense and revenues information in a web -based table that is <br />fully custornizable, searchable, and easy to use. This feature allows a user to analyze <br />date by vendor, by department, or by data type." <br />2, Page 1 of the Agreement, section entitled FEES, shall be amended and updated to <br />include the following: <br />"In consideration of Customer using the Checkbook Report service, Customer shall <br />pay OpenGov, Inc. an additional fee of $3,000 to be paid prior to the commencing <br />date of the service. In no event shall the total fees paid under this Agreement exceed <br />$12,500.,, <br />3. Except as hereinabove amended, all terms and conditions of said Agreement shall <br />remain in full force and effect. <br />
