which shall be executed by Vista Del Rio pursuant to Section 5.2.2 in order to secure the Agency <br />Loan Note. <br />"Agency Loan Note" means that certain promissory note in the original principal <br />amount of up to FOUR HUNDRED SIXTY -NINE THOUSAND DOLLARS ($469,000.00) in <br />substantially the form attached hereto as Exhibit F, which shall be executed by Vista Del Rio in favor <br />of Successor Agency to evidence the obligation of Vista Del Rio to repay the Agency Loan. <br />"Area Median Income" and °`AMI" means the median income for the Orange <br />County, California PMSA as most recently determined by HUD. <br />"Authority" means the Santa Ana Housing Authority, a public body, corporate and <br />politic. <br />"Building Permit" means the grading and building permit(s) issued by City and <br />required for the Construction. <br />"Business Day" means any Monday, Tuesday, Wednesday, Thursday or Friday on <br />which Santa Ana City Hall is open to the public for the conduct of City affairs. <br />"Calendar Year" means each consecutive twelve (12) month period from January 1 <br />to December 30. <br />"City" means the City of Santa Ana, California, a charter city and municipal <br />corporation. "City" shall also refer to the Successor Agency where the context dictates, to the effect <br />that Successor Agency shall have all the rights granted to the City hereunder other than the right to <br />receive repayment of the City /HOME Loan. <br />"City/HOME Loan" means a loan in the original principal amount of up to ONE <br />MILLION FIVE HUNDRED THOUSAND DOLLARS ($1,500,000.00) to be made to Vista Del Rio <br />by City from HOME Program funds pursuant to Article 5 of this Agreement. <br />"City/HOME Loan Deed of Trust" means the deed of trust to be recorded against <br />the Property in the Official Records of the County, in substantially the form attached hereto as <br />Exhibit C, which shall be executed by Vista Del Rio pursuant to Section 5.1.2 in order to secure the <br />City/HOME Loan Note. <br />"City/HOME Loan Note" means that certain promissory note in the original <br />principal amount of up to ONE MILLION FIVE HUNDRED THOUSAND DOLLARS <br />($1,500,000.00) in substantially the form attached hereto as Exhibit D, which shall be executed by <br />Vista Del Rio in favor of City to evidence the obligation of Vista Del Rio to repay the City /HOME <br />Loan. <br />"Close of Escrow" shall mean the date upon which the Deeds of Trust are recorded <br />in the Official Records of the County. <br />"Closing Statement" means the final statement of Vista Del Rio's Escrow account <br />for the purchase of the Property pursuant to the DDA. <br />DOCSOC /1475221 v] 0/200272 -0004 <br />
