1� f N- 2015 -025 DATE 20 CONSULTANT AGREEMENT C lf-- mrnne, U) 0 ?AK 0N HIS AGREEMENT is made and entered into this 10t day of January, 2015 by and between Bob Murray & Associates (hereinafter "Consultant "), and the City of Santa Ana, a charter city and mmiicipal corporation organized and existing under the Constitution and laws of the State of California ( "City "). RECITALS A. The City desires to retain a consultant having special skill and knowledge to perform employee recruitment services for the position of Executive Director of the Plarming and Building Agency. B, Consultant represents that Consultant is able and willing to provide such services to the City. C. In undertaking the performance of this Agreement, Consultant represents that it is knowledgeable in its field and that any services performed by Consultant under this Agreement will be performed in compliance with such standards as may reasonably be expected from a professional consulting firm in the field. NOW THEREFORE, in consideration of the mutual and respective promises, and subject to the terms and conditions hereinafter set forth, the parties agree as follows: 1. SCOPE OF SERVICES Consultant shall provide recruitment services for the City for the position of Executive Director of the Planning and Building Agency. Consultant shall initially perform said recruitment services using an "outreach technique" as set forth in the Letter Proposal from Consultant dated January 1.5, 2015, attached hereto as Exhibit "A" and incorporated herein, If, at the sole discretion of the City, Consultant is unable to secure a satisfactory applicant or applicants for the position of Executive Director of the Planning and Building Agency by using an "outreach technique ", Consultant shall at the direction of the City conduct a, frill recruitment for said position, as outlined in the Consultant's Proposal dated January 5, 2015, attached hereto as Exhibit "B" and incorporated herein by reference, 2. COMPENSATION A. City agrees to pay, and Consultant agrees to accept as total payment for its services in performing the initial outreach technique recruitment, the flat rate sum of $7,500.00 as identified in Exhibit "A ". B. If subsequently directed by the City to perform a full recruitment for the position of Executive Director of the Planning and Building Agency pursuant to Exhibit "B ", City agrees to pay, and Consultant agrees to accept as total payment for these services an additional sun of $10,000.00 plus reasonable reimbursable expenses not to exceed $6,500.00.
