1� f <br />N- 2015 -025 <br />DATE 20 CONSULTANT AGREEMENT <br />C lf-- mrnne, U) <br />0 ?AK 0N HIS AGREEMENT is made and entered into this 10t day of January, 2015 by and between Bob <br />Murray & Associates (hereinafter "Consultant "), and the City of Santa Ana, a charter city and mmiicipal <br />corporation organized and existing under the Constitution and laws of the State of California ( "City "). <br />RECITALS <br />A. The City desires to retain a consultant having special skill and knowledge to perform employee <br />recruitment services for the position of Executive Director of the Plarming and Building Agency. <br />B, Consultant represents that Consultant is able and willing to provide such services to the City. <br />C. In undertaking the performance of this Agreement, Consultant represents that it is <br />knowledgeable in its field and that any services performed by Consultant under this <br />Agreement will be performed in compliance with such standards as may reasonably be <br />expected from a professional consulting firm in the field. <br />NOW THEREFORE, in consideration of the mutual and respective promises, and subject to the terms <br />and conditions hereinafter set forth, the parties agree as follows: <br />1. SCOPE OF SERVICES <br />Consultant shall provide recruitment services for the City for the position of Executive Director of <br />the Planning and Building Agency. Consultant shall initially perform said recruitment services using an <br />"outreach technique" as set forth in the Letter Proposal from Consultant dated January 1.5, 2015, attached <br />hereto as Exhibit "A" and incorporated herein, If, at the sole discretion of the City, Consultant is unable <br />to secure a satisfactory applicant or applicants for the position of Executive Director of the Planning and <br />Building Agency by using an "outreach technique ", Consultant shall at the direction of the City conduct a, <br />frill recruitment for said position, as outlined in the Consultant's Proposal dated January 5, 2015, attached <br />hereto as Exhibit "B" and incorporated herein by reference, <br />2. COMPENSATION <br />A. City agrees to pay, and Consultant agrees to accept as total payment for its services in <br />performing the initial outreach technique recruitment, the flat rate sum of $7,500.00 as <br />identified in Exhibit "A ". <br />B. If subsequently directed by the City to perform a full recruitment for the position of <br />Executive Director of the Planning and Building Agency pursuant to Exhibit "B ", City <br />agrees to pay, and Consultant agrees to accept as total payment for these services an <br />additional sun of $10,000.00 plus reasonable reimbursable expenses not to exceed <br />$6,500.00. <br />
