"City/HOME Loan Note" means that certain promissory note in the
<br />original principal amount of $380,000.00, in the form attached hereto as Exhibit F, and to
<br />be executed by Developer in favor of City to evidence the obligation of Developer to
<br />repay the CityIHOME Loan.
<br />"County" means the County of [Orange, California,
<br />,4(Developer" incans 815 N. Harbor, LP, is California limited
<br />partnership, its successors and aasigns.
<br />"'Developer's Representative" shall inein the Chief Executive Officer of
<br />the General Partner of Developer or his/her desigpee.
<br />"Event of Default" has the meaning set forth in Article 18,
<br />"Executive Director" means the Executive Director of the Community
<br />Development Agency, or her designee,
<br />"General Partner(s)" means the General Partners of Developer,
<br />consisting of OHDC 815 N Harbor, LLC (the Managing General Partner) and C 815
<br />NI Harbor, LLC (General Partner) and their respective successors and assigns.
<br />"Governmental Authority" memos any governmental or quasi
<br />governmental agency, board, bureau, commission, department, court, administrative
<br />tribunal or other instrumentality or authority", and any public utility,
<br />"Hazardous Materials" means flairmiable materials, explosives,
<br />radioactive materials, hazardous wastes, toxic substances and similar substances and
<br />materials, including all substances and materials defined as hazardous or toxic wastes,
<br />skibstarets; or materials under any applicable taw, including without limitation the
<br />Resource Conservation and Recovery Act, 42 U:&C. §§ 6901 et seq., and the
<br />Comprehensive Environmental Response, Compensation and Liability Act of 1980, 42
<br />U S.C. §§ 9601, et sect., as arneuded,
<br />years.
<br />"ROME Compliance Period" the compliance period is fifteen (15)
<br />"HOME Program" has the meaning set forth in Recital "A" above
<br />'PHOME Regulations" has the meaning set forth in Recital "A" above.
<br />"HUD" means the United States Department of Housing and Urban
<br />Development and any successors or assigns thereof.
<br />"Improvements" means all improvements and fixtures now and licreafter
<br />comprising any portion of the Property, including, without limitation, landscaping, trees
<br />and plant materials,; and offike improvements (including, without limitation, streets,
<br />curbs; storm drain,,,, and adjacent street lighting).
