FORM OF APPOINTMENT OF AGENT <br />The undersigned, C1. Skirvin and Daisie Frances Skirvin Family Trust, dated January 28, <br />1981 (collectively the "Seller"), the owner of that certain real property described on Exhibit <br />"A" attached hereto (the "Property'I, hereby appoint C & C Development Co., LLC or its <br />designee, ( "Buyer'), as agent to execute, in place and stead of the undersigned, all <br />applications, maps, and other documents required by the City or other public or quasi -public <br />agency or utility necessary for the entitlement and development of the Property, including, <br />without limitation, documents concerning @ zoning, (ii) subdivision, (iii) design review, and <br />(iv) use, grading, and construction permits, but excepting any documents which would cause <br />the undersigned to incur personal liability or obligation or create alien or monetary <br />encumbrance upon the Property or change the use of the Property before Close of Escrow; <br />said agency shall be binding on any successors -in- interest or assigns to the undersigned's fee <br />interest in the Property, is a power coupled with an interest, and shall not be affected by the <br />disability of the undersigned or its successors or assigns. <br />The undersigned hereby gives and grants Buyer the full power and authority to do and <br />perform all acts whatsoever requisite, necessary, or appropriate for the limited purposes state <br />above as the undersigned might or could do if personally present, hereby ratifying all that <br />Buyer, in its capacity as agent for the undersigned, shall lawfully do or cause to be done by <br />virtue of these presents. <br />This Appointment of Agent shall expire, and shall cease to be of any further force or effect, <br />without any further action by Buyer or the undersigned, upon the earlier of (1) conveyance of <br />title to the Property to Buyer, or (2) termination of that certain Purchase Agreement and <br />Escrow between Buyer and the undersigned, <br />Executed this 10 A day of 2013. <br />C.J.
