APR 2 0 2015 N- 2015-041 <br />SECOND AMENDMENT TO SOFTWARE AGREEMENT BETWEEN THE <br />CITY OF SANTA ANA AND OPENGOV, INC. <br />THIS SECOND AMENDMENT to the above- referenced agreement is entered into on <br />March 5, 2015 by and between the City of Santa Ana, a charter city and municipal <br />corporation organized and existing under the Constitution and laws of the State of <br />California ("City"} and OpenGov, Inc., a Delaware corporation (" OpenGov") <br />RECITALS <br />A. The parties entered into that certain Software Agreement N- 2014 -097, dated April 5, <br />2014 {"Agreement ") by which OpenGov has provided annual and monthly <br />transparency services through a proprietary web application that visualizes the City's <br />general ledger of accounts and provides public access through an online portal. <br />B. On December 23, 2014, the parties executed a First Amendment to the Agreement <br />#N -2015 -007, to expand the scope of services to include the annual Checkbook <br />Report service and to increase the total annual compensation from $9,500.00 to <br />$12,500.00 for all services. <br />C, The term of the Agreement was for a period of twelve months with an option by the <br />City to renew for successive twelve -month terms. <br />D. In accordance with the tenors and conditions of the Agreement, the parties desire to extend <br />the term of the Agreement for an additional twelvemonth period from April 5, 2015 <br />through April 4, 2016. <br />WHEREFORE, in consideration of the covenants contained in the Agreement, and <br />subject to all the terms and conditions of the Agreement, except those amended by the <br />First Amendment and this Second Amendment, the parties agree as follows: <br />I . Section 7.1. Term and Termination, is amended to extend the term of the <br />Agreement through April 4, 2016. <br />1 The total annual fee for all services for the additional twelve -month period shall <br />remain $12,500.00 <br />3. Except as modified by the First and Second Amendments, all terms and conditions of <br />the Agreement shall remain in full force and effect. <br />IN WITNESS WHEREOF, the parties hereto have executed. this Second Amendment to <br />Agreement on the date and year first written above. <br />
