liVSt;ttrx lCL NOT RQUIRED <br />WORK MAY PRWIFED <br />CLERK OF MUNC1L N -2415 -459 <br />4� PWA�[R �` LICENSE AND RIGHT OF ENTRY <br />Simon Stone (the "Property Owner "), does hereby grant to the City of Santa Ana, a charter city and municipal <br />corporation duly organized and existing under the Constitution and laws of the State of California, its officers, <br />agents, employees or representatives (collectively referred to as the "City "), the right to enter the property <br />located at 2641 Old Grand Street, in the City of Santa Ana, County of Orange (the "Property "), and hereby <br />grants to the City a license for the following: <br />To enter the Northwest confer of the Property as shown on the site map, attached hereto as Exhibit A <br />and incorporated by this reference, to remove all large Juniper trees and all Juniper shrubs located at the <br />North West quadrant of the property. After removal of the trees and shrubs, the hole will be filled with <br />dirt similar to what's currently found there or a similar composition. No monetary compensation shall be <br />paid to either the City or the property owner involved in this matter. <br />The City agrees to indemnify and hold harmless, property owners, from any liability arising out of the City's <br />exercise of this License and Right-of-Entry. The City further agrees to repair any damage to said property <br />caused by the exercise of this License and Right of Entry at its sole cost and expense and to restore said <br />property, with the exception of the improvements left thereon, as nearly as practicable to the state in which it <br />existed prior to the use of the property by the City. Notwithstanding the foregoing, the City shall not have a <br />continuing duty to maintain the trees /shrubs removal area located on the property after construction is complete. <br />The rights herein granted to the City, are exclusive, and the City shall not assign, transfer, lease, pledge, or <br />otherwise dispose of its License and Right of Entry without the prior expressed written approval of the <br />undersigned. No right of entry to existing buildings is conveyed by this instrument. <br />Property Owner represents that he has reviewed all aspects of this document, that the document has been <br />carefully read and fully explained to him and that he understands all the provisions of this document, that he <br />voluntarily agrees to all the terms set forth in this document, that he knowingly and willingly intends to be <br />legally bound by the same, that he was given the opportunity to consider the terms of this document and discuss <br />them with legal counsel. <br />The Panties hereto represent and acknowledge that in executing this document they do not rely and have not <br />relied upon any representation or statement made by any of the parties or by any of the parties' agents, attorneys, <br />or representatives with regard to the Subject matter, basis, or effect of this document or otherwise, other than <br />those specifically stated in this document. <br />This document sets forth the entire agreement between the parties hereto and fully supersedes any and all prior <br />agreements or understandings, written or oral, between the parties hereto pertaining to the subject matter hereof. <br />This document shall be interpreted in accordance with the plain meaning of its terms and not strictly for or <br />against any of the parties hereto. <br />This License and Right of Entry shall expire upon completion of said construction work, and in any event, no <br />later than August 30, 2016, unless extended by written agreement between the undersigned and the City. <br />
