INSURANCE EXPIRES �. ��' s-l�-ls - DHERATE-RK OEC tkN06C SPONSORSHIP AGREEMENT WITH DIRECTV DEALER DATE:: OY I IM MA ADVANCED SERVICES, LLC THIS SPONSORSHIP AGREEMENT is made and entered into this 14`x' day of April 2015 by and between MA Advanced Services, LLC, a DirecTV Dealer ("Sponsor"), and the City of Santa Ana, a charter city and municipal corporation organized and existing under the Constitution and laws of the State of California ("City"). RECITALS A. The City is directly producing several events throughout 2015 and desires to retain a sponsor for certain of these events. B. Sponsor represents that it is able and willing to provide sponsorship for the Event. C. In undertaking the performance of this Agreement, Sponsor represents that it is knowledgeable in its field and that any services performed by Sponsor under this Agreement will be performed in compliance with such standards as may reasonably be expected from a professional fine in such field. NOW THEREFORE, in consideration of the mutual and respective promises, and subject to the terms and conditions hereinafter set forth, the parties agree as follows: I. SPONSOR BENEFI'T'S In exchange for the sum specified in Section 2 below, Sponsor shall be entitled to the use of one event booth at the following city events as further specified below (collectively, "Events"): • Dia del Nino (April 25, 2015): one shared booth • Festival Cinco de Mayo (May 2-3, 2015): one booth • July 4, 2015 Celebration: one shared booth • Festival Fiestas Patrias (September 12-13, 2015): one booth Sponsor grants to City the right to use Sponsor's trademark(s), trade name(s), logo designs and company descriptions as prepared and delivered to City by Sponsor in any medium of advertising, marketing materials, and/or promotional goods distributed in conjunction with the Event and in accordance with Sponsor's usage guidelines. No selling of DirecTV subscriptions will take place at the booths. The purpose of such booths is to inform the public attending the Events about DirecTV services. SPONSORSHIP FEE For its participation as a Sponsor for the Events, Sponsor shall pay to the City a sponsorship fee of Nine Thousand Dollars ($9,000.00). The sponsorship fee is payable by Sponsor to City upon execution of this Agreement.
