Exhibit B <br />2010 Price Book Terms and Conditions <br />(Note: Motorola Solutions, Inc. was formerly named Motorola, Inc.) <br />Terms and Conditions <br />County of Orange and Motorola, Inc. <br />Price Book Agreement <br />Motorola, Inc. and the County of Orange propose the following changes to Amendment No. 3 to <br />Agreement Number S0000015.95 (Amendment) as the basis for a new Agreement between the Parties <br />for purchasing Equipment. This new County Price Book Agreement is number MA- 060 - 10012594, <br />Recitals <br />1. The County of Orange ( "Coimty ") desires to purchase from Motorola, Inc. ( "Motorola ") <br />various products and equipment from Motorola's Price Book, <br />2. The County contract Number 50000015,95 with Motorola is set to expire on May 20, 2010. <br />This Agreement is the new contract by which the County could purchase products and <br />equipment, <br />3. Motorola has a price book containing the equipment and is offering it to the County. <br />Terms <br />County and Motorola agree as follows: <br />Section 1 Exhibits <br />The Exhibits listed below are incorporated into and made a part of this Agreement. In interpreting this <br />Agreement and resolving any ambiguities, the main body of this Agreement will take precedence over <br />the Exhibits. <br />Exhibit A Orange County Price Book <br />Exhibit B Motorola Software License Agreement <br />Exhibit C County Participants <br />Exhibit C maybe amended from time to time to add cities or other governmental agencies that desire to <br />purchase Equipment pursuant to this Agreement. <br />Section 2 Definitions <br />"Contract Participants" are more particularly described in Exhibit C. <br />"Customer" means the County and any of its Contract Participants. <br />"Effective Date" means that date upon which the last party to sign this Agreement has executed this <br />Agreement. <br />"Equipment" means the hardware and components listed in the Orange County Price Book. <br />City or Santa And <br />MCC7500 P25 Dispatch Migration and Subscribers <br />02 April 2015 <br />Use or discbsure of this proposal Is subject <br />to the restrictions on the cover page. <br />0 Motorola Solutions Confidential Restricted worms and Conditions 6 -21 <br />
