THIRD AMENDMENT TO CONSULTANT AGREEMENT A- 2014 - 051 -01 THIS THIRD AMENDME NT to Consultant Agreement is made and entered into on December 19, 2014, by and between Black and Veatch Corporation, a Delaware Corporation (hereinafter referred to as "Consultant") and the City of Santa Ana, a chatter city and municipal corporation of California ( "City "). RECITALS: A. The parties entered into Agreement A -2011 -238, dated October 17, 2011, (hereinafter "said Agreement ") by which Consultant has provided financial and engineering services required to prepare a sanitary sewer and water utility financial plan. B. By amendment A- 2013 -026 dated February 4, 2013, the parties amended the Scope of Services and added compensation to pay for additional services C. By amendment A -2014 -051 dated February 18, 2014, the parties further amended the Scope of Services and compensation as well as extending the term of said agreement. D. In accordance with the terms and conditions of said Agreement, the parties wish to extend the term of said Agreement for an additional year in order to provide continuous, uninterrupted service. NOW THEREFORE, in consideration of the mutual and respective promises, and Subject to all the terms and conditions of said Agreement, except those amended in this Third Amendment to Consultant Agreement, the parties agree as follows: The TERM of said Agreement shall be extended for an additional one -year period, through December 31, 2015. 2. Except as hereinabove amended, all germs and conditions of said agreements shall remain in full force and effect.
