NOTICES <br />9.1 All notices, claims, correspondence, reports, and /or statements <br />authorized or required by this Agreement shall be addressed as follows: <br />COUNTY: County of Orange Social Services Agency <br />Contract Services <br />500 N. State College Blvd. <br />Orange, CA 92868 -1600 <br />CONTRACTOR: City of Santa Ana /Santa Ana WORK Center <br />1000 E. Santa Ana Blvd., Suite 200 <br />Santa Ana, CA 92701 <br />9.2 All notices shall be deemed effective when in writing and <br />deposited in the United States mail, first class, postage prepaid and <br />addressed as above. Any notices, claims, correspondence, reports and /or <br />statements authorized or required by this Agreement addressed in any other <br />fashion shall be deemed not given. ADMINISTRATOR and CONTRACTOR may mutually <br />agree in writing to change the addresses to which notices are sent. <br />10. NOTICE OF DELAYS <br />Except as otherwise provided under this Agreement, when either party has <br />knowledge that any actual or potential situation is delaying or threatens to <br />delay the timely performance of this Agreement, that party shall, within one <br />(1) business day, give notice thereof, including all relevant information with <br />respect thereto, to the other party. <br />11. INDEMNIFICATION <br />11.1 CONTRACTOR agrees to indemnify, defend with counsel approved in <br />writing by COUNTY, and hold U.S. Department of Health and Human Services, the <br />State, COUNTY, and their elected and appointed officials, officers, employees, <br />(WRR0415) <br />14 of 39 <br />(April 7, 2015) <br />
