INSURANCE ON FILE <br />WORK MAY PROCEED <br />UNTIL INSORANCE EXPIRES <br />N-206-131 <br />cLERKAF,CO�tNlE2015 CONSULTANT AGREEMENT <br />'DATE: AA <br />' s <br />0-P0tCCa% bCLx <br />THIS AGREEMENT, made and entered into this 1.5`x' day of.luly, 2015 by and between <br />��rl(YIe Omega Group, Inc., a California, corporation (hereinafter "Consultant"), and the City of Santa <br />Ana, a charter city and municipal corporation organized and existing under the Constitution and <br />laws of the State of California (hcreinafter "City"). <br />RECITALS <br />A. The City desires to retain a consultant having special skill and knowledge in the field of <br />software maintenance and support for crime mapping m and crime vieem software. <br />The software is used by the Police Department to provide a mechanism for crime <br />analysis, crime mapping and to provide that crime mapping to the public by way of the <br />City's website. <br />B. Consultant has previously ,provided software for crime analysis and online services, <br />which the City has previously purchased. City wants to continue these services with <br />Consultant. <br />C, Consultant represents that Consuhant is able and willing to provide such services to the <br />City. <br />D. In undertaking the perfonnance of this Agreement, Consultant represents that it is <br />knowledgeable in its field and that tmy services performed by Consultant Linder this <br />Agreement will be performed in compliance with such standards as may reasonably be <br />expected from a professional consulting firm in the field. <br />NOW THE+ REFORE, in consideration of the mutual and respective promises, and subject to the <br />terms and conditions hereinafter set forth, the parties agree as follows. <br />SCOPE OF SERVICES <br />Consultant shall provide telephone and remote service for crime mapping and crime view <br />software 24 hours a day, 7 days a week upon the City's request or for updates and software <br />issues identified by consultant. In addition, consultant will provide crime mapping to the public <br />by way of an internet website. <br />2. COMPENSATION <br />a. City agrees to pay, and Consultant agrees to accept as total payment for its services, <br />an amount that does not exceed Seventeen Thousand, Seven Hundred and Forty -Five <br />Dollars ($17,745.60), during the term of this Agreement. <br />a. Payment by City shrill be made within thirty (30) days following receipt of proper <br />invoice evidencing work performed, subject to the City's accounting procedures. <br />Payment need not be made for work which fails to meet the standards of performance <br />set forth in the Recitals which may reasonably be expected by the City. <br />
