"Consultant"), and the City of Santa Ana, a charter city and municipal corporation organized and existing <br />under the Constitution and laws of the State of California (hereinafter "City"), <br />RECITALS <br />A. The City desires to retain a consultant having special skill and knowledge in the held of auditing <br />to conduct an independent actuarial study of its Self -Funded Workers' Compensation and <br />Liability Programs. <br />B, Consultant represents that Consultant is able and willing to provide such services to the City. <br />C. In undertaking the performance of this Agreement, Consultant represents that it is <br />Imowledgeable in its field and that any services performed by Consultant under this Agreement <br />will be performed in compliance with, such standards as may reasonably be expected from a <br />professional consulting firm in the field. <br />NOW THEREFORE, in consideration of the mutual and respective promises, and subject to the terms <br />and conditions hereinafter set forth, the parties agree as follows: <br />L SCOPE OF SERVICES <br />Consultant shall perform actuarial evaluations of the losses, financial position and recommended <br />funding for the Workers' Compensation and Liability programs as well as update the Workers' <br />Compensation cost allocation system. and Liability cost allocation system for City departments as set forth <br />in Exhibit A, attached hereto and incorporated by reference. Said actuarial study shall utilize current <br />program data to update the previous study prepared in 2013, and project that data through the 2017/18 <br />fiscal year. <br />2. COMPENSATION <br />a. City agrees to pay, and Consultant agrees to accept as total payment for its scavices, Six <br />Thousand Five Hundred Dollars ($6,500,00) for the actuarial study of the City's Workers' (.compensation <br />and Liability Programs; and Four Thousand Dollars ($4,000.00) for the cost allocation systems update, <br />The total sum to be expended under this Agreement shall not exceed $10,500.00 during the term of this <br />Agreemcnt. <br />b. Payment by City shall be made within thirty (30) days following receipt of a proper invoice <br />evidencing eompletedwork, subject to City accounting procedures. Payment need not be made for work <br />which fails to meet the standards of performance set forth in the Recitals which may reasonably be <br />expected by City. <br />3. TERM <br />This Agreement shall commence on the date first written above and terminate on December 31, <br />2015, unless terminated earlier in accordance with Section 13, below, The tenn of this Agreement. nsay <br />be extended upon a writing executed by the Excou Live Director of Personnel Services and the City <br />Attonrey. <br />
