DATE: JUL 15 3 , FIRST AMENDMENT TO PROFESSIONAL SERVICES AGREEMENT (Option to Extend Term) A-2014-193-01 This First Amendment to Consultant Agreement ("First Amendment") is entered into between (i) The City of Santa Ana ("City"), a charter city of the State of California and a municipal corporation, and (ii) Holland and Rnight of Washington D.C. with its principal place of business at 800 17th Street N.W., Suite 1100, Washington D,C, 20006) Consultant"). This First Amendment is intended to exercise an option to extend the terns of the Original Professional Services Agreement, by one year, as provided for in Section 3.1,2 of that Agreement entered into on July 1, 2014. This First Amendment shall become effective upon the date of the last signature to this First Amendment, EFFECT UPON ORIGINAL AGREEMENT, The Original Professional Services Agreement dated July 1, 2014, ("Original Agreement") remains in full force and effect according to its terms, unless otherwise expressly amended by this First Amendment. AMENDMENT OF SECTION 3. Section 3.1.2 of the Original Agreement is amended to read as follows: "3.1.2. 'Perm. The Term of this Agreement shall be from July 1, 2015 through June 30, 2016, ("Term") unless extended or terminated earlier as provided herein. On or before July 1, 2016, the City Manager shall have the authority to extend the Term for up to one additional one-year term (Additional Term). All extensions, if granted, must be in writing executed by both parties. The City Manager's authority to extend this Agreement is limited to one Additional Term." SIGNATURE AND AUTHORITY TO EXECUTE.
