b. Subgrantee shall provide Subgrantor with written notice at least <br />thirty (30) calendar days prior to cancellation or reduction of <br />insurance coverage to an amount less than that required in this <br />Agreement; <br />c. In the event said insurance coverage expires at any time or times <br />during the term of this Agreement, Subgrantee agrees to provide within <br />thirty (30) calendar days prior to said expiration date, a new Certificate <br />of Insurance (ACORD 25) evidencing insurance coverage as provided <br />for herein for not less than the remainder of the term of this <br />Agreement. The Certificate shall identify and name Subgrantor as the <br />Certificate Holder; <br />d. New Certificates of Insurance will be reviewed for content and form by <br />Subgrantor; <br />e. In the event Subgrantee fails to maintain in effect at all times the <br />specified insurance and bond coverage as herein provided, <br />Subgrantor may, in addition to any other available remedies it may <br />have, suspend this Agreement; <br />f. With the exception of workers' compensation and fidelity bond, CDC <br />shall be named as additional insured on all Certificates of Insurance <br />required under this Agreement; <br />g. The issuance of other CDC contracts, to include any cash advances <br />and reimbursement payments, to the Subgrantee shall be contingent <br />upon required current insurance coverage being on file at Subgrantor <br />and CDC for this Agreement; and <br />h. Should Subgrantee utilize a sub - subgrantee(s) to provide services <br />under this Agreement, Subgrantee shall indemnify and hold <br />Subgrantor and CDC harmless against any liability incurred by that <br />sub - grantee(s). <br />13. Codes of Conduct <br />a. Written standards. Subgrantee shall maintain written standards of <br />conduct governing the performance of its employees engaged in the <br />award and administration of contracts or subcontracts. No employee, <br />officer, or agent of the Subgrantee shall participate in the selection, <br />award, or administration of a sub - subcontract supported by federal <br />funds if a real or apparent conflict of interest would be involved.
