i. Explanation of why the acquisition of goods or services is limited <br />to one vendor or supplier; <br />ii. Description of sole vendor /supplier's unique qualifications to <br />provide the goods or services in question; and <br />iii. Analysis of cost(s) to demonstrate reasonableness. <br />f. Emergency procurements. In cases of bona fide emergency where <br />awarding a sub - subgrant is necessary for the immediate preservation <br />of public health, welfare, or safety, documentation of the emergency <br />will be sufficient in lieu of the three -bid process; <br />g. In all procurements, Subgrantee is solely responsible for maintenance <br />of adequate procurement records demonstrating compliance with <br />Federal and State requirements; and <br />h. Noncompliance with any of the provisions in this section may result in <br />a disallowance of the costs of the procurement transaction. <br />15. Sub - Subgrant <br />a. Subgrantee may enter into sub- subgrants) to perform part or all of the <br />direct services covered under this Agreement. Prior to the <br />commencement of sub- subcgrant services under this Agreement, <br />Subgrantee shall obtain board approval, to include but not be limited <br />to, an assurance that the sub - subgrantee agreement(s) shall comply <br />with all terms, conditions, assurances, and certifications of this <br />Agreement for the nonprofit and local governmental agencies <br />performing services in the area(s) described in ARTICLE 1 -SCOPE <br />OF WORK; <br />b. Notification of sub - subgrant execution. Subgrantee shall provide <br />written notification to Subgrantor within sixty (60) calendar days prior to <br />execution of each sub - subgrant agreement the name of the sub - <br />subgrantee entity, its address, telephone number, contact person, <br />contract amount, and program description of each sub - subgrantee <br />activity to be performed under this Agreement. This written notification <br />shall also include a certification that, to the best of Subgrantee's <br />knowledge, the sub - subgrantee is not presently debarred, suspended, <br />proposed for debarment, declared ineligible, or voluntarily excluded <br />from covered transactions by any federal department or agency.
