A. The City is producing its annual Fiestas Patrias Santa Ana Event in downtown Santa Ana on September 12-13,2015 ("Event") mid desires to retain sponsors for the Event. 1.3. Sponsor represents that it is able and willing to provide sponsorship for the Event as further described below, NOW THE REFORE, hi consideration of the mutual and respective promises, and subject to the tan -is and conditions hereinafter set forth, the patties agree as follows: 1. SPONSOR DENEF [TS In exchange for the suni described in Section 2 below, Sponsor shall be entitled to the benefit-, at the Event as described on Exhibit A. Sponsor grants to City the right to -use Sponsor's trademark(s), trade namc(s), logo designs, and company descriptions (the "Marks") as prepared and delivered to City by Sponsor in any mediurn of advertising, marketing materials, and/or promotional goals distributed in conjunction with the Event and in accordance with Sponsor's usage guidelines if any. All rights and benefits, including without limitation, goodwill, resulting from use by City of the Sponsor's Marks shall inure solely to Sponsor, 2. SPONSORSHIP FEE For its participation as a Sponsor ter the Event, Sponsor shall pay to City a sponsorship fee of $5,000. The sponsorship fee will be invoiced by City upon Sponsor's execution of this Agreement. The invoice is due and payable no later tbati sixty (60) days following the date Sponsor uploads the invoice into its, accounts payable system. Sponsor shall receive an automatic Early Payment Discount on all invoices. "Early Payment Disconut"means (a) an amount equal to two percent (2%) of the amount due for any payments made within the first fifteen (IS) days after Sponsor uploads the applicable invoice into its accounts payable system, and (b) thereafter, an amount calculated on a prorated basis over the remaining fierty4tvc (45) days according to the formula: .02 — (.000444 X (total days from when Sponsor uploads the applicable invoice into its accounts payable system -- 15)). 3, TFR51 This Agreement shall commence on the, date stated above and continue through the last date of the Event, unless terminated as otherwise provided in this Agreement.
