INSURANCE ON FILE <br />WORK MAY PROCEED <br />UNTIL INSURANCE EXPIRES <br />LL <br />CLERKOFCO °U¢L. <br />NCI <br />1 DAFE; !;e �-} -- t <br />A -2015 -112 <br />CONSULTANT AGREE4IENT <br />THIS AGREEtvtENT is made and entered into this 16`j' day orJune, 2015, by and <br />between Westbound Communications, Inc., a California Corporation ( "Consultant ") and the City <br />of Santa Ana, a charter city and municipal corporation organized and existing under the <br />Constitution and laws of the State of California ( "City "). <br />RECITALS <br />�1 A. Tltie City desires to hire a Consultant having special skill and knowledge in the field of <br />public outreach and promotional services related to the RcadyOC (ROC,) Emergency <br />Preparedness Campaign and the "If You See Something, Say Something" (S4) <br />Campaign. <br />B. The City, acting through the Santa Ana Police Department in its capacity as a <br />Core City for the Anaheirrn(Santa Ana Urban Area under the FYI <br />Urban Areas Security Initiative, has applied for, received and accepted a. grant <br />from the Federal Department of Homeland Security, Office of Domestic <br />Preparedness, through the State of California, Office of Emergency Services, to <br />enhance countywide emergency preparedness and public awareness, hereinafter <br />referred to as "the Grant." <br />C. In undertaking the performance of this Agreement, Consultant represents that it is <br />knowledgeable in its field and that any services performed by Consultant under this <br />Agreement will be performed in compliance with such standards as may reasonably <br />be expected from a professional consulting Finn in the field. <br />NOW TIIEREFORE, in consideration of the mutual and respective promises, and subject to the <br />teens and conditions hereinafter set forth, the parties agree as follows: <br />1. SCOPE, OF SERVICES <br />Consultant shatI perform those services as set forth in Exhibit A for the Ready OC <br />Campaign and Consultant shall perform those services as set forth in Exhibit B for the "If You <br />See Something, Say Something„ Campaign. <br />2. CONIP.E.iNSAT1ON <br />a. City agrees to pay, and Consultant agrees to accept as total payment for its services <br />during the First year of the Agreement (20t 5- 2016), the rates and charges identified in <br />Exhibit A and B, The total sum to be expended under this Agreement shall not <br />exceed one million five hundred thousand dollars (5 t,500,000.00) during the three <br />year term of this Agreement. Funding for 2016 -2047 and 2018 -2019 are contingent <br />upon grant funding being secured by the City and if such Fending is not secured, then <br />the Agreement will ternunate when the current year's funding is exhausted, <br />
